1. Introduction

Welcome to Zoom Digital. These Terms & Conditions govern your use of our website located at https://www.zoomdigital.in and our digital marketing, SEO, GMB optimization, and web development services. By accessing our website or using our services, you agree to be bound by these Terms.

2. Services Rendered

Zoom Digital provides digital marketing services as agreed upon in individual client proposals or service agreements. The scope, timelines, and deliverables are strictly limited to what is explicitly stated in your signed agreement. We reserve the right to modify, suspend, or discontinue any service at our discretion with prior notice.

3. Payment & Billing

• All fees must be paid in full according to the terms specified in your invoice or service agreement.
• Monthly retainer services require upfront payment before the commencement of work for that billing cycle.
• Zoom Digital reserves the right to halt work or suspend campaigns if payments are overdue by more than 7 days.
• All fees paid are non-refundable unless explicitly stated otherwise in a written agreement.

4. Client Responsibilities

To ensure successful delivery of our services, you agree to:

• Provide timely access to necessary assets, logins, passwords, and platforms (e.g., website CMS, Google Analytics, social media accounts).
• Provide prompt feedback and approvals on deliverables. Delay in client feedback may affect project timelines.
• Ensure that all content, images, and materials provided to us do not infringe on any third-party copyrights or trademarks.

5. SEO & Marketing Guarantees

While we utilize industry best practices and proven strategies, search engines (like Google) frequently change their algorithms. Therefore, Zoom Digital does not guarantee specific search engine rankings, specific traffic numbers, or guaranteed sales/leads. Our commitment is to execute professional campaigns designed to improve your digital presence over time.

6. Intellectual Property

Upon full payment of all outstanding invoices, the client assumes ownership of the final deliverables (e.g., final website code, ad creatives). However, Zoom Digital retains the right to use the completed work as part of our portfolio, case studies, and marketing materials unless a strict Non-Disclosure Agreement (NDA) is signed. We retain ownership of all proprietary methodologies, scripts, and pre-existing tools used during the project.

7. Limitation of Liability

Zoom Digital shall not be held liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities, arising out of or related to our services. Our maximum liability under any circumstance is strictly limited to the amount paid by the client for the specific service in the preceding 30 days.

8. Termination

Either party may terminate the service agreement with a 30-day written notice. Upon termination, the client is responsible for paying all fees for services rendered up to the termination date. Zoom Digital will hand over all relevant assets and accounts upon receipt of final payment.

9. Governing Law

These terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these terms shall be subject to the exclusive jurisdiction of the courts located in Delhi NCR, India.
